1. Acceptance of Terms

By accessing or using SchemaReports ("the Service"), operated by ZolukoWeb Digital LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including users who connect their Google accounts for enhanced analytics features.

2. Description of Service

SchemaReports is an AI-powered website audit platform that provides:

• Website Performance Analysis: PageSpeed Insights, Core Web Vitals, and resource optimization recommendations
• Technical SEO Audits: Meta tags, schema markup, accessibility, and 450+ data point analysis across 11 phases
• AI-Powered Content Analysis: Semantic content scoring, readability assessment, and industry-specific insights
• Google Integration Services: Optional connection to Google Search Console, Google Analytics 4, and Google Ads for unified analytics dashboards
• White-Label Reporting: Customizable branded reports for agencies (Agency tier)

3. Account Registration

3.1 Account Creation

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent that you are at least 18 years of age.

4. Google Integration Terms

4.1 Authorized Access

By connecting your Google account, you grant SchemaReports permission to:

• Google Search Console: Read your search performance data, including queries, clicks, impressions, and page indexing status
• Google Analytics 4: Read your website traffic data, user behavior metrics, and conversion data
• Google Ads: Read your keyword performance data and campaign metrics for keyword research purposes

4.2 Limited Use Compliance

SchemaReports' use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Specifically:

• We only access data necessary to provide the features you've enabled
• We do not sell your Google data to third parties
• We do not use your Google data for advertising purposes
• We do not transfer your Google data to third parties except as necessary to provide the Service

4.3 Revoking Access

You may revoke SchemaReports' access to your Google account at any time by:

• Visiting your Google Account permissions page
• Removing SchemaReports from your connected applications
• Contacting us to request disconnection of your Google services

5. Subscription and Billing

5.1 Subscription Tiers

SchemaReports offers the following subscription tiers:

• Free: 1 audit per month, basic technical checks, no AI insights
• Starter ($35/month): 10 audits per month, full technical audit, basic AI insights, GSC + GA4 integration
• Professional ($75/month): 50 audits per month, full AI analysis, all integrations, PDF exports
• Agency ($150/month): Unlimited audits, white-label reports, custom branding, API access

5.2 Payment Terms

Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

5.4 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Audit websites you do not own or have authorization to audit
• Attempt to circumvent usage limits or access controls
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems or bots to access the Service beyond intended API usage
• Transmit viruses, malware, or other malicious code
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Use the Service for competitive analysis of SchemaReports itself
• Resell, redistribute, or sublicense the Service without authorization

7. API Terms

7.1 API Access

API access is available to Agency tier subscribers. Use of our API is subject to:

• Rate limits as specified in our API documentation
• Authentication via API keys tied to your account
• Compliance with all terms in this agreement

7.2 API Key Security

You are responsible for maintaining the confidentiality of your API keys. Any activity occurring under your API keys is your responsibility.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by ZolukoWeb Digital LLC and is protected by international copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of any websites and content you submit for auditing. By using the Service, you grant us a limited license to access and analyze your content solely for the purpose of providing the Service.

8.3 Audit Reports

Audit reports generated by SchemaReports are licensed to you for your use. Agency tier subscribers may white-label reports for client delivery. You may not resell raw audit data or reports as a competing service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information, including data obtained through Google integrations.

10. Disclaimers

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Audit results or recommendations will guarantee specific SEO outcomes or rankings
• Any errors in the Service will be corrected

SchemaReports provides analysis and recommendations based on industry best practices and data available at the time of the audit. Search engine algorithms change frequently, and we cannot guarantee any specific ranking improvements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZOLUKOWEB DIGITAL LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the Service
• Any damages resulting from unauthorized access to your account or data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless ZolukoWeb Digital LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

13.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in activities that we determine, in our sole discretion, may harm the Service or other users.

13.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account data in accordance with our data retention policies
• Any outstanding fees will become immediately due
• Provisions that by their nature should survive termination will survive

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email to the address associated with your account (for material changes)

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Phoenix, Arizona, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZolukoWeb Digital LLC regarding the Service and supersede all prior agreements and understandings.
